Terms of Service

These Terms of Service govern your access to and use of DepoDigest.ai, a product of Atty Finders. Please read them carefully — they include important provisions about disclaimers of warranties, limitation of liability, and binding arbitration.

1. Acceptance of Terms

By creating an account, accessing, or using DepoDigest.ai (the “Service”), you agree to be bound by these Terms of Service (the “Terms”) and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.

2. The Service

DepoDigest.ai is an AI-assisted tool that ingests legal deposition transcripts and produces summaries, chronologies, citation indices, and related analytical output. The Service is provided by Atty Finders (“Atty Finders,” “we,” “us,” or “our”).

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a contract. By using the Service, you represent and warrant that you have all rights, licenses, consents, and authority necessary to upload and process the materials you submit, including under applicable protective orders, ethical rules, contracts, and laws.

4. Accounts & Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that we believe have been compromised or used in violation of these Terms.

The Service does not provide legal advice. Nothing produced by the Service constitutes legal advice or creates an attorney-client relationship between you and Atty Finders. Output is informational only and is not a substitute for the judgment of a licensed attorney. You are solely responsible for any decision or action taken based on Service output.

6. AI Output & Verification

AI-generated output may be inaccurate, incomplete, or fabricated (a phenomenon often called “hallucination”). Page citations, quotations, summaries, and chronological events may not match the source document. You agree that you will independently review and verify all output against the underlying source materials before using it for any purpose, particularly any legal, regulatory, financial, evidentiary, or client-facing purpose. We make no representation that output is accurate, complete, or fit for any particular use.

7. Your Responsibilities

  • Use the Service only for lawful purposes and in accordance with these Terms;
  • Ensure you have authority to upload each document and that doing so does not violate any law, court order, protective order, contract, ethical rule, or third-party right;
  • Do not upload materials beyond what is reasonably necessary for the analysis you are requesting;
  • Maintain appropriate confidentiality of any output you receive;
  • Comply with all applicable bar, professional conduct, and ABA Model Rules obligations;
  • Provide accurate registration information and keep it current.

8. Prohibited Uses

You will not, and will not permit any third party to:

  • Reverse engineer, decompile, or attempt to derive the source code or models of the Service;
  • Scrape, crawl, or harvest data from the Service except as permitted by us in writing;
  • Resell, sublicense, or provide the Service to third parties except as expressly permitted;
  • Upload malware, viruses, or any code intended to disrupt or damage the Service;
  • Use the Service to violate any law, regulation, court order, or third-party right;
  • Attempt to defeat usage limits, authentication, rate limiting, or security mechanisms;
  • Use the Service to develop a competing product or to train a competing AI model;
  • Misrepresent your affiliation with any person or entity.

9. Intellectual Property

9.1 Our IP

The Service, including all software, models, prompts, designs, trademarks, and content created by us, is owned by Atty Finders or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

9.2 Your Content

You retain ownership of Uploaded Content. You grant Atty Finders a worldwide, royalty-free, limited license to host, store, transmit, process, display, and modify Uploaded Content solely as necessary to provide the Service to you, to comply with law, and to enforce these Terms. We do not use your Uploaded Content to train AI models.

9.3 Output

Subject to your compliance with these Terms, you own the output generated for you by the Service. You acknowledge that other users may receive similar or identical output for similar inputs and that we make no exclusivity guarantees regarding output.

10. Payments, Credits & Subscriptions

10.1 Credits

The Service uses a credit-based pricing model. Each page of an uploaded document consumes one credit at the rate of one U.S. dollar per credit unless otherwise stated at checkout. Credits purchased expire twenty-four (24) months after the date of purchase unless otherwise communicated. Free promotional credits may have shorter expiration periods.

10.2 Subscriptions

Subscription plans renew automatically at the end of each billing cycle until cancelled. You may cancel at any time through your account settings; cancellation takes effect at the end of the then-current billing period.

10.3 Refunds

All fees are non-refundable except where required by applicable law. Unused credits are not redeemable for cash. We may, at our sole discretion, issue refunds or credits in exceptional circumstances.

10.4 Taxes

Fees do not include taxes. You are responsible for all applicable sales, use, value-added, and similar taxes, except taxes based on our net income.

10.5 Changes to Pricing

We may change pricing prospectively with reasonable notice. Changes will not affect credits already purchased.

11. Third-Party Services

The Service relies on third-party providers, including Stripe (payments), Supabase and Cloudflare (infrastructure), and Google and OpenAI (AI models accessed via the Lovable AI Gateway). Your use of those services is also subject to their terms and policies. We are not responsible for the acts, omissions, or content of third parties.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including suspected violation of these Terms. You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including ownership, disclaimers, indemnification, and limitations of liability.

13. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. ATTY FINDERS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ATTY FINDERS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so the limitations above may not fully apply to you.

15. Indemnification

You will defend, indemnify, and hold harmless Atty Finders and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service; (b) your Uploaded Content; (c) your violation of these Terms; (d) your violation of any law or third-party right, including any intellectual property, privacy, or confidentiality right; or (e) any reliance on or use of Service output.

16. Governing Law & Venue

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. Subject to Section 17, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to personal jurisdiction and venue in those courts.

17. Dispute Resolution & Arbitration

Please read this Section carefully. It requires you to arbitrate disputes with Atty Finders and limits the manner in which you can seek relief.

17.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@attyfinders.com. If we cannot resolve the dispute within sixty (60) days, either party may bring a formal proceeding.

17.2 Binding Arbitration

You and Atty Finders agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in Los Angeles County, California or, at your election if you are an individual consumer, in your county of residence. Judgment on the award may be entered in any court of competent jurisdiction.

17.3 Class Action Waiver

YOU AND ATTY FINDERS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

17.4 Exceptions

Either party may bring an individual action in small-claims court, and either party may seek injunctive or equitable relief in court for infringement or misappropriation of intellectual property rights.

17.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@attyfinders.com within thirty (30) days of first accepting these Terms.

18. Miscellaneous

Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Atty Finders regarding the Service and supersede prior agreements. Severability. If any provision is held unenforceable, the remaining provisions remain in effect. No Waiver. Our failure to enforce any provision is not a waiver. Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control. Notices. We may provide notices through the Service or to your account email.

19. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
